This study highlights corporate governance practices in Bangladeshi manufacturing&#13;
companies and the fundamental aim is to understand the corporate governance&#13;
application &amp; its effects on firm performance. This study argues that corporate&#13;
governance components like the Board of Directors, audit committees, external&#13;
audit firms, and institutional ownership play a significant role on firm performance&#13;
for the Bangladeshi manufacturing companies. The objective of this research is to&#13;
determine the impact of corporate governance on firms’ performance of publicly listed&#13;
companies in Bangladesh on their accounting performance and market performance e.g.&#13;
return on assets (ROA), return on equity (ROE) and Tobin’s Q. More precisely, this&#13;
study focuses on the scenario of the corporate governance environment of the listed&#13;
manufacturing companies in Bangladesh. Secondly, this research finds the effect of&#13;
corporate governance practices on the firm performance of the listed manufacturing&#13;
companies in Bangladesh. Eventually, the present researcher examines the effect of&#13;
family control firms on firm performance. Using a sample of 100 manufacturing&#13;
organizations listed under the DSE over the eight -year period from 2013 to 2020. The&#13;
present researcher mainly addresses the Two-step system GMM in our empirical study.&#13;
However, the researcher employs traditional panel estimation processes, i.e., Pooled OLS&#13;
(POLS), Fixed Effects, and Random Effects, to justify our dynamic panel estimated&#13;
results. The result reveals that corporate governance variables, i.e. BS, IDB, DUAL, BM,&#13;
IMAC, NACM, QMAC, ACS, BNAF, IW all are favorably related with firm&#13;
performance.&#13;
In introduction chapter, background of the study has been discussed along with the&#13;
significance of the study, statement of the problem, research question and objectives of&#13;
the study. An overview of the corporate governance environment in Bangladesh has been&#13;
shown in chapter two. Meanwhile, Chapter three covered in the literature review which&#13;
focused on conceptual literature review, theoretical literature review and empirical&#13;
literature review to identify the importance of corporate governance, and research gap.&#13;
Chapter four discussed the research framework and hypotheses development where the&#13;
present researcher used alternative hypotheses based on the independent variables.&#13;
Chapter five discussed the research methodology where the entire research plan has been&#13;
presented. Chapter six discusses data analysis and result-based on data examination. In&#13;
Chapter seven, an overall discussion has been presented on the findings along with&#13;
iiilimitation of the study, research contribution, suggestions for future research, and finally&#13;
conclusion.&#13;
Originality: A range of measures of corporate governance mechanisms and firm&#13;
performance variables are used, as a departure to keeping to the traditional system of&#13;
prior studies instead of the single measuring framework. For the goal of analysis,&#13;
numerous statistical tools such as GMM model, fixed effects, random effects and other&#13;
approaches are employed. Moreover, a large number of manufacturing companies and&#13;
years were selected as a sample.&#13;

Over  the  past  few  decades,  retaining  expert  employees  has  become  progressively  more &#13;
significant in the financial institutions, especially in the private commercial banks (PCBs) &#13;
in Bangladesh. There are extensive ranges of research exist to explore and study the proper &#13;
utilization  of  these  expert  employees  to  improve  the  quality  and  performance  of  the &#13;
organization in the process sustaining and developing the organization. This investigation &#13;
inspects  how  retention  affect  the  overall  performance  of  the  organization  and  also  the &#13;
determinants of the retention program and the impact of it. &#13;
This study claims that knowledgeable, skilled, abled employees have substantial influence &#13;
on  the  performance  within  and  outside  the  organization.  The  stability  of  the  business &#13;
organization  depends  largely  on  the  retention  of  skilled  and  stable  employees  of  the &#13;
organization. If the employees are changed frequently, it has a great negative impact on &#13;
the organization‟s performance. It efforts to uncover the factors of retention and how these &#13;
factors have prime influence in retaining employees, interacting them with organizational &#13;
environment  which  is  crucial  for  the  betterment  of  enhancing  the  performance  of  the &#13;
quality  organization.  Previous  research  have  not  addressed  this  interacting  theme.  This &#13;
study argues that when there is an association among retention of employees and trained &#13;
them  for  the  organization  with  benefits,  there  is  a  likelihood  that  the  quality  and  the &#13;
performance of the organization would be improved. Proposed conceptual framework or &#13;
model consists of five factors, each has a direct relationship with the employee retention &#13;
and on the other hand, employee retention has direct impact on three basic components in &#13;
role performance, organizational citizenship behavior and turnover intention consequently &#13;
their impact on organizational performance.  Again employee retention has direct impact &#13;
on organizational performance.  &#13;
The  phenomena  has  been  explored  using  a  quantitative  research.  The  data  are  collected &#13;
from significant stakeholders, employees of the PCBs in Bangladesh. The survey has been &#13;
conducted with executive employees of the private commercial banks. Microsoft Excel 16, &#13;
SPSS  23.0,  and  Smart  PLS  software  are  used  to  collect,  organize,  and  analyzed  all  the &#13;
quantitative data systematically. &#13;

To  enrich  the  theoretical  foundations  of  this  research,  retention  strategy  literature  is &#13;
examined. The practices of retaining expert employees have not improved in line with the &#13;

expectations  that  is one  of  the  gaps  in  the  existing literature. Objectives  can  act  as  a &#13;
benchmark to evaluate the outcome of the study. All the relevant theories are applied to &#13;
explain the findings. Study found, contemporary practices of retention in the organizations &#13;
are partial and relatively weak. It also reveals that for retaining experts in the organizations &#13;
need to identify the determinants which motivate them to be in the job and also help to &#13;
find  the  ways  how  to  utilize  them  in  an  optimist  way.  Lastly,  it  is  found  that  retaining &#13;
expert employees directly supports to the positive work performance of the organization. It &#13;
has been concluded that retaining expert employees add directly to heighten quality and &#13;
stable performance of the organization.  The study's implications for relevant approaches &#13;
and theories are also considered. Furthermore, new research directions are identified.

ABSTRACT &#13;
Bangladesh  is  trying  to  grasp  benefits  of  tourism  industry  through  essential &#13;
development  and  promotional activities.  This  beautiful country  is enriched  with  the &#13;
longest natural unbroken sandy sea beach of the world with three world heritage sites &#13;
like  Shatgombuj  Mosque,  Sompur  Bihar,  and  world’s  largest  mangrove  forest &#13;
Sunderbans.  Sylhet  is  one  of  her  beautiful  regions  filled  with  huge  natural  and &#13;
historical  resources.  Sylhet  is  adorned  with  eye-catching  tea  estates,  mighty  rivers, &#13;
hills and mountains, waterfalls, and different parks. Development of tourism industry &#13;
contributes to the economy as well as creates huge employment opportunities. For this &#13;
reason,  central  and  regional  efforts  are  being  noticed  to  develop  and  promote  this &#13;
promising sector.  &#13;
In spite of having mentionable tourism resources and potentiality, why Bangladesh or &#13;
her different prospective zones is not getting desired success–is a significant question. &#13;
With other issues ‘poor brand image’ has been identified as a critical factor in several &#13;
studies. In this case, greater Sylhet region is fairly ready to be branded strongly and to &#13;
attract  domestic  and  international  tourists.  By  considering  the  geographic &#13;
significance, identified research gap, and passion of the researcher have encouraged to &#13;
conduct the study titled “Tourism Destination Branding: A Study on Sylhet”.  &#13;
This  study  attempted  to  explore  answer  of  the  core  issues  of  branding  Sylhet  as  a &#13;
destination  like  (i)  What  are  the  key  factors  of  branding  Sylhet  as  a  tourism &#13;
destination?  (ii)  What  are  the  main  challenges  of  such  branding?  (iii)  How  those &#13;
challenges can be addressed to convert it into an attractive tourism destination? In this &#13;
purpose, the research objectives were to (a) explore the tourism potentiality of Sylhet &#13;
region as a tourism destination; (b) measure the tourists’ satisfaction on Sylhet as a &#13;
destination; (c) identify the factors that affect branding Sylhet as a tourist destination; &#13;
(d)  find  out  the  challenges  of  branding  Sylhet  as  a  tourist  destination;  and  (e) &#13;
recommend some policy suggestions for effective branding of Sylhet as a destination.  &#13;
The researcher has purposively chosen Sylhet as the study area. The population of the &#13;
study  is  all  of  the  visitors  and  tourists  who  travel  different  tourist  spots  of  Sylhet &#13;
region throughout the year. To conduct the study, data have been collected from three &#13;
different groups. Firstly, four experts were  selected for in-depth interview based on &#13;
judgment. In the second step, total 100 tourists were interviewed randomly based on a &#13;
structured questionnaire. Data collection venues were selected based on the popularity &#13;

(mostly  traveled)  of  the  tourist  spots.  During  the  interview,  probability  sampling &#13;
technique  was  preferred  to  get  more  representative  opinion.  Finally,  a  focus  group &#13;
discussion (FGD) was conducted to enrich the findings and recommendations of the &#13;
study.  Total  nine  participants  have  contributed  on  different  aspects  of  tourism &#13;
potential, challenges, required initiatives and so many relevant issues. Their opinions &#13;
have  been  accumulated  to  draw  conclusion  in  the  study  findings  and &#13;
recommendations.  Secondary  data  have  also  been  used  where  required.  Collected &#13;
survey data were processed with the help of software. Experts’ views and opinion of &#13;
the FGD participants have been analyzed qualitatively. &#13;
The overall attitude of the tourists has been found positive toward Sylhet as a tourism &#13;
destination.  Factors  relating  to  the  tourism  infrastructure;  leisure  and  recreation &#13;
facilities have scored lower. On the other factors they have shown satisfaction which &#13;
indicates the potentiality of Sylhet as a tourism destination. Five key dimensions were &#13;
selected to determine the image of Sylhet. In the 5.0 point scale, tourism resources has &#13;
scored  3.4375;  Tourism  environment    is  3.3968;  Tourism  infrastructure  is  2.754; &#13;
Leisure  and  recreation  facilities  are  2.8529;  and  Overall  factors  are  3.3774.  Mean &#13;
score  of  these  variables  is  3.16372  which  indicate  the  positive  attitude  toward  this &#13;
destination. Out of 34 attitudinal questions 21 has been considered positively and 13 &#13;
items negatively by the respondents. Among them, six factors have scored very poor &#13;
which  are  treated  as  the  key  challenging  factors.  Those  are  (i)  Accommodation &#13;
facilities close to the tourist spots; (ii) Adequate scopes of hunting/fishing/swimming &#13;
during tour; (iii) Availability of quality restaurants near the tourist spots; (iv) Number &#13;
of museum, zoo, and similar attractions (v) Access to the information of tourist spots &#13;
and  relevant  services;  and  (vi)  Transportation  systems  to  the  tourist  spots  from  the &#13;
district headquarters. &#13;
To  accelerate  the  pace  of  converting  Sylhet  into  an  attractive  tourism  destination, &#13;
integration  among  the  different  levels  of  government  bodies  is  highly  required. &#13;
Prioritization  of  tourism  sector,  integrating  the  schemes  among  the  responsible &#13;
organizations,  introducing  transportation  services  to  the  major  tourist  spots, &#13;
accommodation  and  foodstuff  services  in  the  spots,  offering  safe  and  clean &#13;
destination,  access  to  information  and  recreational  services,  providing  useful &#13;
information etc have been recommended in the study.
